1. Acceptance of Terms

By accessing and using FreelancerKit ("the Service"), you accept and agree to be bound by these Terms and Conditions. If you do not agree to these terms, please do not use the Service.

2. Description of Service

FreelancerKit is a toolkit for independent freelancers. Depending on your plan, the Service allows you to:

• Analyze job descriptions and generate professional proposals using AI
• Generate ad scripts, scope of work documents, follow-up emails, and client summaries using AI
• Maintain a client CRM (contacts, status, notes, and follow-ups)
• Create, send, and track invoices
• Track billable time per client and review daily/weekly summaries
• Store and reuse templates, and review your past activity
• Use a set of free, no-account-required calculators and generators under /tools
• On the Agency plan, create a shared workspace and invite team members

3. User Accounts

3.1 Account Creation

You must create an account using Google OAuth to use the Service. You are responsible for maintaining the confidentiality of your account credentials.

3.2 Account Responsibilities

You agree to:

• Provide accurate and complete information
• Maintain the security of your account
• Notify us immediately of any unauthorized access
• Be responsible for all activities under your account
• Not share your account with others

3.3 Account Termination

You may delete your account at any time through the settings page. We reserve the right to suspend or terminate accounts that violate these terms.

4. API Keys and Third-Party Services

4.1 Your API Keys

You must provide your own API keys for AI services (OpenAI, Google Gemini, or Groq). By using the Service, you:

• Confirm you have the right to use these API keys
• Agree to comply with the terms of service of your chosen AI provider
• Understand that API usage costs are your responsibility
• Acknowledge that we are not responsible for API key security breaches on third-party platforms

4.2 API Usage

We use your API keys solely to generate proposals on your behalf. We do not use your keys for any other purpose, nor do we share them with third parties.

4.3 Third-Party Terms

Your use of AI providers through our Service is subject to their respective terms of service. You are responsible for compliance with:

• OpenAI Terms of Service
• Google Cloud Terms of Service (for Gemini)
• Groq Terms of Service

5. Acceptable Use

5.1 Permitted Use

You may use the Service for:

• Creating proposals for legitimate freelance work
• Analyzing job descriptions
• Managing your freelance business activities

5.2 Prohibited Use

You may NOT use the Service to:

• Generate spam, fraudulent, or deceptive content
• Violate any laws or regulations
• Infringe on intellectual property rights
• Harass, abuse, or harm others
• Attempt to hack, reverse engineer, or compromise the Service
• Use automated tools to scrape or abuse the Service
• Resell or redistribute the Service without permission

6. Intellectual Property

6.1 Your Content

You retain all rights to the content you create using the Service, including job descriptions, proposals, and templates. We do not claim ownership of your content.

6.2 Our Service

The Service, including its design, code, features, and branding, is owned by FreelancerKit and protected by copyright and other intellectual property laws.

6.3 License to Use

By using the Service, you grant us a limited license to store, process, and display your content solely for the purpose of providing the Service to you.

7. Pricing and Payment

7.1 Plans

FreelancerKit offers a free Tester plan (a real CRM, invoicing, the full set of free tools, and a limited number of AI generations per month) and paid Freelancer and Agency plans with unlimited usage and more AI generations per month. Current plan details and pricing are listed on our Pricing page, which supersedes any pricing described elsewhere.

7.2 Paid Plans and Billing

Paid plans are billed through our payment processor, Cashfree Payments India Pvt. Ltd. (an RBI-regulated payment aggregator), as 30-day subscription periods. Prices are displayed in US dollars and charged in Indian rupees (INR) at the rate shown at checkout; your bank may apply its own currency conversion fees. Applicable taxes (including GST where required) are included in the displayed price unless stated otherwise. Your plan stays active until the end of the period you have paid for; if a renewal payment is not completed, your account moves back to the free Tester plan and your data remains accessible within Tester limits. We will notify existing users before any material change to billing, renewal, or cancellation terms takes effect.

7.3 Cancellation and Refunds

You can cancel your subscription at any time from the Billing & Plan page in your account. Cancellation stops future charges; you keep full access to paid features until the end of the period you have already paid for, after which your account moves to the free Tester plan. Because access is granted immediately, payments for a started billing period are non-refundable except where a refund is required by law or the Service was materially unavailable. To request a refund, contact us at hello@freelancerkit.tech within 7 days of the charge; approved refunds are returned to the original payment method, typically within 5–10 business days.

7.4 EU/EEA and UK Consumers: Right of Withdrawal

If you are a consumer in the EU, EEA, or UK, you normally have a 14-day right of withdrawal for online purchases. By purchasing a subscription and accessing paid features immediately, you expressly request immediate performance of the digital service and acknowledge that you lose the right of withdrawal once performance has begun, in accordance with Directive 2011/83/EU (Consumer Rights Directive) and equivalent UK regulations. If you have not used any paid feature, you may still exercise the withdrawal right within 14 days of purchase by emailing hello@freelancerkit.tech.

7.5 Payments from India

Payments made from India are processed in INR in accordance with Reserve Bank of India regulations applicable to our payment aggregator. For any payment-related grievance, contact us at hello@freelancerkit.tech; we aim to acknowledge grievances within 48 hours and resolve them within 30 days.

7.6 AI Generation Limits

Each plan includes a monthly allowance of AI-generated actions (proposals, scripts, scope of work documents, follow-up emails, and client summaries, collectively). Allowances reset monthly and do not carry over. We may adjust plan allowances from time to time; material reductions will be communicated in advance.

7.7 Team Workspaces (Agency Plan)

The Agency plan lets you create a workspace and invite teammates. Clients, projects, and invoices you mark as part of a workspace become visible to, and editable by, every active member of that workspace, not just you. Removing a member does not retroactively hide data they already viewed or exported. You are responsible for only inviting people you trust with that data.

7.8 API Costs

If you use your own AI provider API keys, you are solely responsible for all costs incurred through that provider. We are not responsible for unexpected API charges.

8. Disclaimers and Limitations of Liability

8.1 Service "As Is"

The Service is provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

8.2 No Guarantee of Results

We do not guarantee that:

• Generated proposals will result in winning projects
• The Service will be uninterrupted or error-free
• AI-generated content will be accurate or suitable for your needs
• Your data will be completely secure from unauthorized access

8.3 Limitation of Liability

To the maximum extent permitted by law, FreelancerKit shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits or revenue
• Loss of data
• Loss of business opportunities
• API usage costs
• Damages resulting from use or inability to use the Service

8.4 Maximum Liability

Our total liability to you for any claims arising from your use of the Service shall not exceed the amount you paid us in the 12 months prior to the claim (currently $0).

9. Indemnification

You agree to indemnify and hold harmless FreelancerKit, its developers, and affiliates from any claims, damages, losses, or expenses (including legal fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of third-party rights
• Content you generate or submit

10. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. The Service may be temporarily unavailable due to:

• Scheduled maintenance
• Technical issues
• Third-party service outages (Supabase, AI providers)
• Force majeure events

We reserve the right to modify, suspend, or discontinue the Service at any time with or without notice.

11. Data and Privacy

Your use of the Service is also governed by our Privacy Policy. Please review it to understand how we collect, use, and protect your data.

12. Modifications to Terms

We may update these Terms and Conditions from time to time. Significant changes will be communicated by updating the "Last updated" date. Continued use of the Service after changes constitutes acceptance of the updated terms.

13. Governing Law and Disputes

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

Any disputes arising from these Terms or your use of the Service shall be resolved through good faith negotiation. If negotiation fails, disputes shall be subject to the exclusive jurisdiction of the courts in India.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

15. Acknowledgment

By using FreelancerKit, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.
